Design Wox Terms & Conditions

These Terms & Conditions (“Terms”) govern your use of the website, services, and communications provided by Design Wox (“Design Wox,” “we,” “us,” or “our”).
By accessing our website, requesting our services, engaging Design Wox for a project, or otherwise using our services, you acknowledge that you have read, understood, and agree to these Terms.
1. Services
Design Wox provides creative, digital, and marketing services that may include:
- Logo and brand identity design
- Graphic design
- Website design and development
- Website maintenance
- E-commerce development
- Marketing materials
- Social media design and management
- Search engine optimization (SEO)
- Digital marketing
- Pay-per-click advertising
- Illustration
- UI/UX design
- Mobile and web application development
- Other related creative and digital services
The specific services provided for an individual project will be determined by the applicable proposal, quotation, invoice, agreement, or other written communication between Design Wox and the client.
2. Project Engagement and Scope of Work
Before beginning a project, Design Wox may discuss the client’s requirements, objectives, expected deliverables, timeline, and pricing.
The agreed scope of work may be documented through a proposal, quotation, invoice, email, written agreement, or other written communication.
Any services or deliverables requested outside the agreed scope may require additional fees and may affect the project timeline.
Design Wox reserves the right to decline work that falls outside the agreed scope until additional costs and requirements have been approved.
3. Client Responsibilities
Clients are responsible for providing the information, content, materials, feedback, approvals, account access, and other resources reasonably required to complete their project.
Delays in providing required materials, feedback, or approvals may result in corresponding changes to the estimated project completion date.
The client is responsible for ensuring that any content, trademarks, photographs, graphics, or other materials supplied to Design Wox may legally be used for the project.
4. Fees and Payment
Project fees and payment requirements will be communicated before or during the engagement and may be stated in a proposal, quotation, invoice, or other written agreement.
Design Wox may require an upfront deposit or partial payment before work begins.
Unless otherwise agreed in writing, outstanding balances must be paid according to the payment schedule provided for the applicable project.
Additional work outside the original scope may be billed separately.
Design Wox reserves the right to pause work or withhold final deliverables when required payments are overdue.
5. Cancellations and Refunds
Because Design Wox provides customized professional services, payments for work that has already begun may be non-refundable to the extent permitted by applicable law.
Once a project begins, Design Wox may allocate professional time, resources, research, planning, and creative work specifically to that project.
Requests to cancel a project will be reviewed based on the work already completed, expenses incurred, project agreement, and applicable law.
Any project-specific cancellation or refund terms contained in an accepted proposal, invoice, or written agreement will also apply.
Nothing in these Terms is intended to limit any rights that cannot legally be waived.
6. Revisions
The number and scope of revisions included in a project may be specified in the applicable proposal or agreement.
Revision requests should remain reasonably consistent with the originally approved project scope and creative direction.
Substantial changes in direction, additional concepts, additional pages, new functionality, or work beyond the agreed scope may result in additional charges.
7. Client Approval
Clients are responsible for reviewing designs, content, websites, and other deliverables before final approval.
Once a client approves a final deliverable, Design Wox may rely on that approval when preparing final files, publishing work, or completing the project.
The client should carefully review spelling, contact information, images, functionality, dimensions, and other relevant details before providing final approval.
8. Intellectual Property and Ownership
Unless otherwise agreed in writing, Design Wox retains ownership of project work until all applicable fees have been paid.
After full payment, rights to approved final deliverables may be transferred to the client as specified in the applicable project agreement.
Third-party materials, including stock photographs, fonts, software, plugins, themes, templates, licensed assets, and other third-party intellectual property, remain subject to their respective licenses and terms.
Unless otherwise agreed in writing, Design Wox may display completed work in its portfolio, website, social media, presentations, and other materials for the purpose of demonstrating its services.
9. Third-Party Products and Services
Projects may incorporate or depend upon third-party services such as website hosting, domain registrars, plugins, software platforms, payment processors, advertising platforms, stock assets, APIs, or other external services.
Design Wox does not control these third-party services and is not responsible for changes, interruptions, outages, security incidents, pricing changes, account suspensions, or other issues caused by third-party providers.
Clients are responsible for complying with the terms and policies of third-party services they use.
10. Confidentiality
Design Wox will use reasonable measures to protect confidential client information provided in connection with a project.
Confidential information may be disclosed when reasonably necessary to service providers involved in providing the requested services or when disclosure is required by applicable law, regulation, court order, or other lawful process.
SMS opt-in information and consent are subject to the additional protections described in the SMS Terms below.
11. Warranties and Disclaimers
Design Wox will use reasonable professional care when providing its services.
However, unless specifically agreed in writing, Design Wox does not guarantee particular commercial outcomes, sales, leads, search engine rankings, advertising results, website traffic, or other business results.
Digital platforms, search engines, advertising networks, social media platforms, and third-party technologies may change independently of Design Wox.
To the extent permitted by applicable law, services are otherwise provided without warranties beyond those expressly stated in a written agreement.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Design Wox will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of our services.
To the extent permitted by applicable law, Design Wox’s aggregate liability relating to a particular project will not exceed the amount paid to Design Wox for the services giving rise to the applicable claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
13. Termination
Either party may terminate a project or service arrangement subject to the applicable proposal, agreement, payment obligations, and cancellation terms.
Upon termination, the client remains responsible for amounts properly due for work performed, approved expenses, or other obligations incurred before termination.
Design Wox may suspend or terminate services for non-payment, unlawful activity, abusive conduct, material violation of an agreement, or other reasonable business or legal grounds.
14. SMS Terms & Conditions
Design Wox SMS Messaging
Design Wox uses SMS messaging to communicate with prospective and existing customers who have consented to receive text messages from us where consent is required.
SMS messages may include:
- Responses to customer inquiries
- Information about requested services
- Appointment or call scheduling
- Appointment and call confirmations
- Project updates
- Requests for information related to an inquiry or project
- Customer service and support
- Follow-up regarding services the recipient has requested or discussed with Design Wox
SMS messages associated with this program are intended primarily for conversational, informational, and customer-service communications.
SMS Consent
Where consent is required, recipients may opt in to SMS communications by providing their mobile phone number through an applicable Design Wox form or another authorized opt-in method and affirmatively agreeing to receive SMS messages.
Consent to receive SMS messages is not a condition of purchasing any product or service from Design Wox.
Message Frequency
Message frequency varies depending on your interactions with Design Wox and the nature of your inquiry, project, appointment, or requested service.
Message and Data Rates
Message and data rates may apply.
Any charges associated with sending or receiving SMS messages are determined by your wireless carrier and are your responsibility.
Opt-Out
You may opt out of receiving SMS messages from Design Wox at any time by replying STOP.
After you reply STOP, you may receive a confirmation that you have been unsubscribed. You will no longer receive SMS messages from Design Wox unless you subsequently opt in again.

15. Privacy
Your use of Design Wox’s website and services is also subject to our Privacy Policy.

16. Changes to These Terms
Design Wox may update these Terms periodically to reflect changes to our services, business practices, legal requirements, or policies.
When these Terms are updated, the revised version will be published on our website with an updated effective date.
Your continued use of our services following an update will be subject to the revised Terms to the extent permitted by applicable law.
17. Governing Law
These Terms and any dispute arising from them will be governed by applicable law and any project-specific written agreement between Design Wox and the client.
Any mandatory rights or remedies available under applicable law remain unaffected.
18. Entire Agreement
These Terms, together with any applicable proposal, quotation, invoice, project agreement, Privacy Policy, or other written agreement, constitute the terms applicable to the relevant services.
If a project-specific written agreement contains terms that conflict with these general Terms, the project-specific agreement will control with respect to that project to the extent of the conflict.
